These Terms of Service ("Terms") govern your access to and use of AbleSpan ("we," "us," or "our"), a construction management platform available at ablespan.com and through our mobile applications (collectively, the "Service"). Please read these Terms carefully before using the Service.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
AbleSpan is a construction management software-as-a-service (SaaS) platform that provides:
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must immediately notify us at support@ablespan.com if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
Account administrators are responsible for managing user access, permissions, and roles within their organization. You are responsible for all actions taken by users you invite to your organization.
The Service is offered at $199 per month, plus $20 per user per month. Pricing is subject to change with 30 days' notice.
We may offer a free trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial ends.
Subscription fees are billed monthly in advance. All payments are processed through Stripe. You authorize us to charge the payment method on file for all applicable fees.
Subscription fees are non-refundable, except where required by law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.
If payment fails, we will notify you and may suspend access to the Service until payment is received. Accounts with overdue payments for more than 30 days may be terminated.
You retain all ownership rights to the data you submit, upload, or create through the Service ("Your Data"). We do not claim ownership over Your Data. We will not access, use, or share Your Data except as necessary to provide and improve the Service, as described in our Privacy Policy.
You grant us a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.
You may export Your Data at any time through the Service's export features or by contacting us. We will provide Your Data in a standard, machine-readable format.
Upon termination of your account, you will have 30 days to export Your Data before it is permanently deleted.
AI-generated content provided through the Service, including but not limited to pricing analysis, bid recommendations, document summaries, site monitoring alerts, and subcontractor matching, is for informational purposes only.
AI-generated content does not constitute professional advice of any kind, including but not limited to engineering, architectural, legal, financial, or safety advice. You should not rely solely on AI-generated content for making business decisions. Always exercise independent professional judgment and consult qualified professionals where appropriate.
We do not guarantee the accuracy, completeness, or reliability of AI-generated content. We are not liable for any decisions made or actions taken based on AI-generated content.
The AbleSpan Marketplace connects general contractors with subcontractors. We act as a platform facilitator and are not a party to any agreement between contractors and subcontractors.
A 1% transaction fee applies to all work matched through the AbleSpan Marketplace. This fee is calculated on the total contract value of work awarded through the platform.
We do not guarantee the quality, safety, legality, or timeliness of any work performed by subcontractors found through the Marketplace. We do not verify licenses, insurance, or qualifications of subcontractors beyond the information they provide. You are responsible for conducting your own due diligence.
Any disputes between contractors and subcontractors are to be resolved between those parties directly. We may, at our discretion, assist with mediation but are not obligated to do so.

The Service, including its design, features, code, logos, trademarks, and documentation, is the intellectual property of AbleSpan and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service.
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABLESPAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to other users or the Service.
Upon termination, your right to use the Service ceases immediately. You will have 30 days to export Your Data before it is permanently deleted. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 9, 10, 11, 13, and 14) will survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be brought in the state or federal courts located in Bexar County, Texas.
Before filing any formal legal action, you agree to first attempt to resolve the dispute informally by contacting us at support@ablespan.com. We will attempt to resolve the dispute within 30 days.
If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Antonio, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AbleSpan regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and sending an email notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
